Terms of Service

Effective Date: July 2026Version 2.4 // Continuit Web JV

1. Agreement to Terms

By accessing or engaging Continuit Web (a joint venture formed by Canvex, Automate Shift, and FEDLIN), you agree to be bound by these Terms of Service. These terms govern all web design, software development, workflow automation, cybersecurity monitoring, and digital infrastructure services provided to you ("Client").

2. Scope of Services & Joint Venture Structure

Continuit Web delivers an integrated digital ecosystem executed by three specialist entities:

  • Canvex: High-performance UI/UX design, frontend engineering, and conversion rate optimization.
  • Automate Shift: Custom business logic, API integrations, and autonomous AI workflow engines.
  • FEDLIN: Cloud security architecture, zero-trust infrastructure, and continuous threat monitoring.

3. Intellectual Property Rights

Upon full payment of applicable fees, all bespoke source code, visual designs, custom graphics, and software workflows created specifically for the Client shall become the sole property of the Client. Continuit Web retains rights to reusable pre-existing frameworks, developer tooling, and core internal utilities utilized in project delivery.

4. 24/7 SLA & Performance Commitments

Clients enrolled in a Continuit Web managed retainer benefit from Service Level Agreements (SLAs). The specific response targets, coverage window, and scope are defined in each client's statement of work — not by this page.

5. Payment Terms & Confidentiality

Invoices are payable within 14 calendar days of issuance unless otherwise structured in a custom statement of work. Both parties agree to hold all proprietary trade secrets, user data, source code, and strategic operational information in strict confidence under non-disclosure obligations.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Continuit Web and its partner agencies shall not be liable for any indirect, incidental, special, or consequential damages resulting from service interruptions beyond reasonable control or third-party cloud provider outages.
